Asters Hosts Business Breakfast "Debt or Equity: IPO vs. Eurobonds"

On 26 October 2011 Asters hosted the business breakfast "Debt or Equity: IPO vs. Eurobonds". The event brought together managers of Ukrainian businesses, journalists and professional advisers.

Senior Partner Armen Khachaturyan, Partner Igor Svechkar and Associate Oleksiy Demyanenko made presentations on various legal issues related to IPO and Eurobond deals, including corporate restructuring of the issuer's group, choice of a foreign jurisdiction for a holding company or an SPV, drafting of the prospectus and other transaction documents, regulatory proceedings at a stock exchange, tax planning and antimonopoly issues.

There was a focused discussion of equity and debt public and private placements, specifics of debt capital market deals through LPN (loan participation notes) and CLN (credit linked notes) structures, peculiarities of planning transactions at the Warsaw Stock Exchange as one of the most perspective capital markets for Ukrainian companies, including  Catalyst, the first organized market in debt securities in Poland.

All presentations were well received by the audience and were followed up by a question and answer session resulting in a living discussion among participants.
