Asters advises LVMH in merger clearance of business combination with Bulgari

Asters acts for LVMH Moët Hennessy Louis Vuitton (LVMH), French luxury group, in merger clearance of contribution of the Bulgari Family's majority shareholding in Bulgari SpA. (Bulgari) to LVMH.

As a result of approx. 4.3 billion Euro transaction, LVMH has become the majority shareholder of Bulgari, with a participation of 76.12% of Bulgari share capital, and is bound to launch a mandatory tender offer on all remaining Bulgari shares.

LVMH is a company listed on the Paris stock exchange. The company is represented in five different sectors, such as: Wines & Spirits, Fashion & Leather Goods, Perfumes & Cosmetics, Watches & Jewelry, and Selective retailing. It owns the following brands: Louis Vuitton, Donna Karan, Fendi, Loewe, Céline, Kenzo, Marc Jacobs, Givenchy, Berlutti, Guerlain, Tag Heuer, Chaumet, Zenith, Hublot, Fred and De Beers Diamond Jewellers.

Bulgari is a global and diversified company, a major producer and retailer of luxury products and services as jewels, watches, accessories, fragrances, skincare, hotels and resorts. Bulgari operates mainly through its brand "Bulgari".
