Asters Advises Etex Group on Acquisition of the Ukrainian subsidiaries of Lafarge SA

Asters acted as a Ukrainian legal counsel to Etex Group, a leading international producer of building materials and systems with headquarters in Belgium, in connection with its acquisition of ALC Lafarge Gips and LLC Lafarge Gips Ukraine, which are Ukrainian subsidiaries of Lafarge SA, a top-ranked French manufacturer of building materials, such as cement, concrete and gypsum. Asters' advice included a full-blown due diligence of the Ukrainian companies, structuring the transaction, drafting relevant documentation, and negotiation with the seller.

Acquisition of the Ukrainian companies is a part of the EUR 1 billion acquisition of Lafarge's European and South American gypsum and plasterboard business by Etex Group, the completion of which took place on 4th November 2011 after agreeing the transaction details and obtaining clearances from the relevant, including antitrust, authorities.

Asters' team worked on the project included associates Yevgen Porada, Yevgen Kravtsov and Iryna Scherbyna headed by senior partner Armen Khachaturyan.
