Asters Partner Attending Conference on M&A in Russia and CIS

Asters partner Vadym Samoilenko attended the 1st Russia and CIS Mergers and Acquisitions Conference hosted by the International Bar Association and held in Moscow, Russia, on 18 - 19 November 2009. The Conference emerged as one of the major events in the M&A area in the CIS.

The forum gathered some 150 attendees, among then being M&A legal advisors, in-house lawyers, corporate managers, investment bankers, and governmental officials.

The participant discussed a number of issues, including impact of the global economic crisis on mergers and acquisitions in Russia and CIS, M&A transactions structuring, corporate law novelties, antimonopoly legal framework as applied to cross-border M&A transactions, and litigations arising from such transactions.

At the session dedicated to M&A transactions structuring, Vadym Samoilenko came forward as a co-speaker with his Russian colleague on a current issue of corporate debt-to-corporate rights conversion. Mr. Samoilenko shared with the participants Asters experiences in that area, also noting that even where both parties are willing to do so, applicable Ukrainian laws do not allow any automatic conversion, and thus, such transactions evolve as a complicated multi-phase process.

"We had in-depth professional discussions on the current issues of M&A in various CIS jurisdictions. It was quite interesting and useful both to hear the presentations given by the colleagues from a number of countries, and to have informal viz-a-viz discussions with them, thus establishing personal contacts," said Mr. Samoilenko expressing general appreciation of the event.
